Dear UVA Health Community,

I am pleased to share that we have signed a letter of intent for UVA Health to acquire full ownership of the Novant Health UVA Health System, a Northern Virginia joint operating company (JOC) formed in 2016.

Currently, Novant Health has 60% ownership and UVA Health 40%. Under the proposed new arrangement, UVA Health will acquire full ownership of all facilities and assets that are currently part of the JOC, including an integrated network of outpatient services and the following hospitals:

• Novant Health UVA Health System Culpeper Medical Center
• Novant Health UVA Health System Haymarket Medical Center
• Novant Health UVA Health System Prince William Medical Center

As the #1 hospital in Virginia five years running, UVA Health is committed to expanding its services into Northern Virginia, which range from routine to specialized tertiary and quaternary care. 

Once completed, this transaction will provide UVA Health with over 1,000 inpatient beds across a growing geography and position us to develop a strong presence in Northern Virginia. This acquisition will enhance our national prominence as we approach a similar size and breadth of other leading academic medical centers. In addition, it will create opportunities for patients in Northern Virginia to benefit from our extraordinary care as well as our research and teaching programs. Additional details of the agreement will be finalized in the coming months and closing of the transaction will be subject to appropriate due diligence reviews and any necessary regulatory approvals. We hope to have this complete by July 1.

This acquisition will not change our commitment to our current footprint in Charlottesville and the surrounding region. UVA Health recently opened a new bed tower and we are currently building a state-of-the-art Orthopedic Center. The health system is preparing to develop its first-ever comprehensive strategic plan, which will identify and prioritize how best to invest resources into our people and programs.
